for providing the service of automatic conversion of .psd design template files into HTML/CSS layout

By the following, 'Psd 2 Html Converter' company, hereinafter referred to as “Contractor”, offers to conclude an agreement with Customers of the service of Automatic conversion of .psd design template file into HTML/CSS layout (hereinafter referred to as “Service”) under the terms of this Public Offer.
1. The terms and definitions
For this Offer the following terms are used in the following meanings:
Offer - a public offering which is addressed to any person or legal entity to negotiate a Contract for doing services on the terms contained in the Contract.
Contract - a contract between the Customer and the Contractor for providing the Service which is set up through Acceptance of the Public Offer.
Acceptance of the Public Offer - a full and unconditional acceptance of the Offer by accomplishing action described in 6.1. Acceptance of the Offer creates a Contract.
Customer – a person who Accepts the Offer and uses the Service according the concluded Contract.
Online User Profile – user personal section of the website http://psd2htmlconverter.com where Customer can pay for Service, see amount of available and performed conversions.
Website - the official website of the Contractor http://psd2htmlconverter.com
.psd file – a design template file in the .PSD format based on which HTML layout is produced.
HTML layout – a web page generated with HTML markup language.
Payment agent - a legal entity or a sole proprietor who performs reception of payments from private individuals.
2. The subject of the Public Offer
2.1. The Contractor is obligated to provide Service to the Customer on the price published at the website of the Contractor http://psd2htmlconverter.com
2.2. The Customer is obligated to accept and pay for the Service in accordance with the terms of the Offer
2.3. By accepting the Offer Customer confirms that he is fully aware and accepts the terms of this Offer
3. General conditions for providing the Service
3.1. Mandatory condition for the Service to be provided is upload of a .psd design template file by the Customer at the page of the website of Contractor http://psd2htmlconverter.com in accordance with the terms of this Offer
3.2. The Contractor performs the Service to the Customer only if the following conditions are fulfilled:
3.2.1. The Customer has uploaded a .psd file at the website of Contractor http://psd2htmlconverter.com
3.2.2. The Customer has entered their e-mail address for the purpose to be able to be contacted in case of any technical problems on the website of the Contractor.
3.2.3. The Customer has accepted the Offer.
3.2.4. The Customer has paid for the Service.
3.3. It is recommended for the Customer to create a personal Online User Profile before uploading a .psd file at the website of the Contractor. It will help the Contractor to promptly contact the Customer in case any problems or errors occur at the website of the Contractor.
3.4. Before uploading of a .psd file the Customer must be sure that .psd file is prepared in accordance with the guide and the documentation published on the website of the Contractor: http://psd2htmlconverter.com
3.5. If the .psd file of the Customer is not prepared in accordance with the guide and the documentation published at the Contractor’s website http://psd2htmlconverter.com, the Contractor will not be responsible for the performed Service.
3.6. The Service is provided on “AS IS” basis, without any warranties. The Contractor make no representations or warranties of any kind, express or implied, as to the operation of the site or software or the information, content, materials included on the web site. To the full extent Contractor disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement. Under no circumstances will Contractor be liable for any loss or damage, express or implied, which is connected with the use of the Service.
4. The rights and obligations
4.1. The Contractor promises to provide the Service in accordance with the general conditions of the Service under Article 3 of this Offer.
4.2. The Contractor has a right to:
4.2.1. Suspend the provision of the Service temporarily on technical, technological or any other reasons which hinder the Service delivery until the reasons are eliminated. No payments are charged during this period.
4.2.2. Make changes to the Public Offer in accordance with clause 7.2. of this Offer.
4.2.3. Provide to the Customer bonuses as a free Service usage.
4.3. The Customer is obliged:
4.3.1. Pay for the Service in accordance with the terms of the Offer.
4.3.2. Provide .psd files according to the rules and requirements of the Offer.
4.3.3. Follow the guide and documentation published on the website of the Contractor http://psd2htmlconverter.com
4.3.4. Accept the Service provided by the Contractor.
4.3.5. Allow processing of his/her personal data by the Contractor.
4.3.6. Allow to store his/her personal data by the Contractor at any country of the world.
4.4. The Customer has a right to:
4.4.1. Report errors in the Service provision and request an elimination of errors.
4.4.2. Request removal of his/her account from the database of Contractor if not agree with item 4.3.6.
5. Cost of the Service and payment procedure
5.1. Cost of the Service provided by the Contractor is defined by prices on the website of the Contractor http://psd2htmlconverter.com
5.2. Prices are set up by the Contractor and may be changed at any time. New prices become effective at the moment of their publication on the website of the Contractor http://psd2htmlconverter.com.
5.3. Payment for Service is made by the Customer in the following way:
By credit card through authorized payment agents of the Contractor. At the time of publication of this Offer authorized payment agents of the Contractor are following:

5.3.2. The Contractor can add new payment agents to the list of authorized payment agents or exclude any payment agents from the list at any time after the publication of this Offer. Such addition or deletion may be made without notification of the Customer.
5.3.3. Purchased Services cannot be converted into cash. Bought but not used Service cannot be refunded to the Customer.
6. Acceptance of the Offer and conclusion of the Contract
6.1. The Customer accepts the Offer by accepting the Offer conditions on the website of the Contractor or by payment for the Contractor's Service, subject to the conditions of clause 5 of this Offer. Acceptance of the Offer creates a Contract between the Customer and the Contractor.
7. Expiration and alteration of conditions of the Offer
7.1. The Offer becomes effective immediately after publication on the website of the Contractor http://psd2htmlconverter.com and is valid until the revocation of the Offer by the Contractor.
7.2. The Contractor has the right to change the terms of the Offer or revoke the Offer at any time.
8. Privacy Policy
8.1. The Contractor promises to follow the Privacy Policy published on the website of the Contractor http://psd2htmlconverter.com.
9. Other Conditions
9.1. The Contract, its conclusion and performance is governed by the laws of the Russian Federation. If controversy between the Customer and the Contractor is not settled by negotiations between the Parties, they are subject to a hearing in the Arbitration Court of St. Petersburg and Leningrad region according with the laws of the Russian Federation.
